TERMS OF SERVICE

KAIROX LLC (“Kairox,” “we,” “us”) is a Wyoming limited liability company that provides personal- coaching services through Allison Fabbri. These Terms of Service (“Terms”) govern your access to and use of the website at kairox.co and the coaching services and software (collectively, the “Service”).

By submitting an application, signing a coaching agreement, or using the Service, you agree to be bound by these Terms.

You may use the Service only if all of the following are true:

• You are at least 18 years old.
• You can form a legally binding contract under the laws of your country of residence.
• You have read and accepted these Terms, the Privacy Policy, and the Medical Disclaimer.
• You are not prohibited from receiving such services under any applicable law.

A Kairox Method coaching engagement typically includes a written training, nutrition, and mindset program, weekly asynchronous reviews, a private communication channel with your coach, and access to the Kairox Method client application. The exact deliverables are set out in your individual coaching agreement.

Submitting an application does not create a coaching relationship. We read every application personally and offer a no-cost diagnostic call to qualified applicants. A coaching relationship begins only when you (a) sign a written coaching agreement and (b) complete the initial payment.

Coaching fees, billing cadence, and any refund or pause policy are set out in your individual coaching agreement. Unless stated otherwise in that agreement:

• Fees are quoted in US dollars (USD) and payable in advance of each billing period.
• Payments are non-refundable once a billing period has begun, except where required by applicable law.
• We may suspend the Service if a payment is more than 7 days overdue.
• Price changes for renewals will be communicated at least 14 days before the renewal date.

You agree to provide accurate information about your health, training history, and goals, and to update us promptly if those change. You agree to follow your program in good faith, to seek medical advice when appropriate, and to communicate respectfully with your coach.

You are responsible for keeping your account credentials confidential and for all activity that occurs under your account.

All protocols, materials, written content, videos, and software provided by Kairox are the intellectual property of Kairox and are licensed to you for your personal, non-commercial use during your coaching engagement. You may not redistribute, resell, or publish them without our prior written consent.

Information you share with your coach during the engagement is treated as confidential and used only to deliver the Service. See the Privacy Policy for how we handle personal data.

Either party may end the coaching engagement at any time on written notice. Termination does not entitle you to a refund of fees already due for the current billing period unless your coaching agreement says otherwise.

We may suspend or terminate access to the Service immediately if you breach these Terms, abuse staff or other clients, or use the Service in a way that may cause legal or reputational harm to Kairox.

The Service is provided on an “as is” and “as available” basis. We do not guarantee specific results. Results depend on many factors outside our control, including your effort, genetics, sleep, stress, and prior history.

To the maximum extent permitted by law, Kairox’s total liability arising out of or relating to the Service is limited to the amount you paid us in the three months preceding the event giving rise to the claim. We are not liable for indirect or consequential losses (including loss of profit, data, or opportunity).

We may update these Terms from time to time. If we make material changes, we will notify active clients by email and update the “Last updated” date at the top of this page. Continued use of the Service after the change takes effect constitutes acceptance of the updated Terms.

These Terms are governed by the laws of the State of Wyoming, USA, without regard to its conflict-of-laws rules. Any dispute arising out of or in connection with these Terms will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, subject to any mandatory consumer- protection rules that apply in your state or country of residence.
